Welcome to codeoptix.in (the "Website"), owned and operated by CodeOptix Web Development Company ("CodeOptix", "we", "us", or "our"), a service provider based in Zirakpur, Punjab, India. These Terms of Service ("Terms") govern your access to and use of the Website, and your engagement of any development, maintenance, design, or related services offered by CodeOptix ("Services").
Note: CodeOptix also publishes the Locateify Store Map Directory Shopify application, made available at app.codeoptix.in. Use of that application is governed exclusively by its own Terms of Service and Privacy Policy, and is not covered by these Terms.
By accessing the Website, submitting an enquiry, or engaging our Services, you ("Client", "User", or "you") agree to be bound by these Terms. If you do not agree, please do not use the Website or our Services.
CodeOptix is a web development company offering website design, development, bug-fixing, plugin/API integration, maintenance, and related digital services, along with a Shopify application, Store Map Directory, listed on the Shopify App Store.

These Terms apply to the Website at codeoptix.in and to the agency Services described below. They do not apply to the Locateify Store Map Directory Shopify application at app.codeoptix.in, which has its own separate Terms of Service and Privacy Policy.

Any engagement for the Services described above is subject to a separate written Service Agreement, Statement of Work, and/or Non-Disclosure Agreement executed between CodeOptix and the Client, which shall govern the specific scope, fees, timelines, and deliverables of that engagement. These Terms govern general use of the Website and, where no separate agreement exists, the baseline terms of engagement.
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party.
You must not attempt to gain unauthorised access to the Website, its servers, or any systems or networks connected to the Website.
All content on the Website, including text, graphics, logos, and design, is provided for general informational purposes and does not constitute a binding offer unless confirmed in writing by CodeOptix.
Enquiries submitted through the Website, email, or phone do not, by themselves, create a binding obligation on CodeOptix to provide Services. A binding engagement arises only upon written confirmation of scope, pricing, and timelines (including via a signed Service Agreement, Statement of Work, or email confirmation) between CodeOptix and the Client.
CodeOptix reserves the right to decline any project or engagement at its sole discretion.
Unless otherwise agreed in writing, development work is billed on an hourly basis and maintenance work is billed on a fixed monthly retainer basis, as set out in the applicable Service Agreement or invoice.
An advance payment may be required prior to commencement of any new project, as communicated by CodeOptix. No work shall commence until the agreed advance is received in full.
Store Map Directory (also referred to as Locateify Store Map Directory) is a Shopify application developed and published by CodeOptix, available for installation through the Shopify App Store and at app.codeoptix.in. Use of the App is governed by its own dedicated Terms of Service and Privacy Policy, available at app.codeoptix.in/terms-of-service and app.codeoptix.in/privacy-policy respectively, which are incorporated into these Terms by reference and shall prevail over these Terms on all matters specific to the App, including subscription plans, billing, free trial, cancellation, and refunds.
These Website Terms apply to the App only to the extent of general references to CodeOptix as the App's developer; they do not modify or override the App's dedicated Terms of Service.
This section applies to website development and maintenance engagements only. Refunds and cancellations for the Store Map Directory App are governed exclusively by its dedicated Terms of Service referenced in Section 5 above.
6.1 Advance Payments: Advance payments made towards development work are non-refundable once work has commenced, except where CodeOptix fails to commence or deliver the agreed Services within the agreed timeline without valid cause.
6.2 Maintenance Retainer: Monthly maintenance retainer fees are non-refundable for the month in which services were made available, regardless of the extent to which the Client utilised them. A Client wishing to discontinue the maintenance retainer must provide thirty (30) days' written notice; fees already paid for the notice period are non-refundable.
6.3 Cancellations: Either Party may cancel an ongoing engagement in accordance with the termination provisions of the applicable Service Agreement. In the absence of a separate written agreement, either Party may terminate an ongoing engagement upon thirty (30) days' written notice, without prejudice to payment obligations for work already performed.
All content, trademarks, logos, and materials on the Website are the property of CodeOptix unless otherwise stated, and may not be copied, reproduced, or used without prior written consent. Intellectual property in the Store Map Directory App is addressed separately in its own Terms of Service.
Ownership of custom Work Product created for a Client under a paid engagement shall be governed by the applicable Service Agreement; generally, such Work Product is assigned to the Client only upon receipt of full payment.
Where a Client and CodeOptix have executed a Non-Disclosure Agreement, the confidentiality obligations therein shall govern the treatment of Confidential Information exchanged in connection with the Services. In the absence of a separate NDA, CodeOptix will treat Client information shared in the course of an engagement as confidential and will not disclose it to third parties without consent, except as required by law.
The Website and its content are provided on an "as is" and "as available" basis. CodeOptix makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of any content on the Website.
While CodeOptix uses reasonable skill and care in delivering the Services, we do not warrant that the Services or any website/software developed or maintained by us will be uninterrupted, error-free, or fully secure against all forms of unauthorised access.
To the maximum extent permitted by applicable law, CodeOptix's aggregate liability arising out of or relating to the Website or any Services shall not exceed the total fees paid by the Client to CodeOptix in the three (3) months preceding the event giving rise to the claim.
CodeOptix shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunity, arising out of the use of the Website or the Services.
You agree to indemnify and hold CodeOptix harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Website or breach of these Terms.
The Website may reference or integrate with third-party platforms and services (including but not limited to Shopify, WordPress, payment gateways, and API providers). CodeOptix is not responsible for the content, policies, or practices of any third-party platform, and your use of such platforms is subject to their respective terms.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Indian Contract Act, 1872, as applicable.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (as amended), with the seat of arbitration at Chandigarh, India, conducted in English.
Subject to the above, the courts at Chandigarh, Punjab shall have exclusive jurisdiction over any matters arising from these Terms.
CodeOptix may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. Continued use of the Website or Services after such changes constitutes acceptance of the revised Terms.
